Acceptance of these terms

Agreement to these terms

These terms govern your use of Avanta ("we", "us", "our"), a customer relationship management platform. By creating an account, joining a workspace, or otherwise using Avanta, you agree to be bound by them. If you do not agree, do not use the service.

If you accept these terms on behalf of a company, organisation or other legal entity, you confirm that you have the authority to bind that entity, and “you” means both you and that entity.

Documents that form part of this agreement

Our privacy policy is incorporated into these terms by reference and explains how we handle personal data. Where a written agreement signed by us conflicts with these terms, that agreement prevails for the customer who signed it; otherwise these terms apply in full.

Eligibility and accounts

Who may use Avanta

You must be at least 16 years old to hold an Avanta account. You must provide accurate registration details and keep them current. We may refuse, suspend or remove an account where the information given is false or where use of the service would breach applicable law.

Your credentials

You are responsible for everything done through your account. Passwords must be at least eight characters, and you agree to keep your credentials confidential and not to share them with anyone, inside or outside your organisation.

Tell us immediately if you believe your account or your workspace has been accessed without authorisation. We may require a password reset or temporarily suspend access while we investigate.

The service

What Avanta provides

Avanta is a multi-workspace CRM and sales-pipeline platform. It gives your team a place to record contacts and companies, track opportunities through a pipeline, plan tasks and calendar work, keep files and communication history against a customer, and see the resulting activity in reports.

Avanta is a tool you use to run your own client relationships. We are not a party to any agreement between you and your customers, contacts or suppliers, we do not verify the records you enter, and we take no responsibility for the commercial decisions you make using the platform.

Changes to the service

We develop Avanta continuously and may add, change or withdraw features. Where a change materially reduces functionality you rely on, we will give reasonable notice through the platform or by email to the address on your account.

Workspaces, roles and team administration

Workspaces

Work in Avanta happens inside a workspace. Every record belongs to the workspace it was created in, and access is scoped to that workspace — members of one workspace cannot read the data of another.

Roles

Avanta has three roles. A user may read workspace data and update or delete the records they own. An administrator may manage any record in the workspace and manage its membership, but may not grant platform-level rights. A superadministrator holds platform-level rights and is excluded from the workspace seat count.

Who controls a workspace

The administrators of a workspace control who joins it, what each member may do, and what happens to the records in it. If you join a workspace created by your employer or another organisation, that organisation controls that workspace and its data, and we will act on its instructions in relation to it.

Acceptable use

What you may not do

You may not use Avanta to break the law, to infringe anyone's rights, to store or transmit malicious code, or to send unlawful or deceptive messages to your contacts. You may not resell or sublicense access to the platform, and you may not copy, reverse engineer, decompile or attempt to derive the source of any part of it except to the extent that restriction is unenforceable under Cambodian law.

You may not attempt to reach data belonging to another workspace, probe or test the security of the platform without our written permission, or use another member's credentials.

Technical limits

Avanta applies rate limits to protect the service: in normal operation, 60 requests a minute per address to the application, 10 a minute to authentication endpoints, and 5 a minute to public forms. These figures may change as the platform develops. Deliberately circumventing a limit, or automating access in a way that degrades the service for others, is a breach of these terms.

Customer data and content

You own your data

The contacts, companies, opportunities, tasks, notes, files and messages you put into your workspace remain yours. We claim no ownership of them.

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit and display that content strictly as needed to operate the service for you, to provide support, and to keep backups. That licence ends when the content is deleted, subject to the retention described in our privacy policy.

Your responsibility for what you upload

Almost everything in a CRM is personal data about somebody else. You confirm that you have a lawful basis to collect, upload and process the personal data of your contacts, that you have given them any notice the law requires, and that our processing of it on your instructions will not put you in breach of your own obligations.

You are responsible for the accuracy of the records you enter and for responding to requests your contacts make about their own data.

Intellectual property

Our rights

The Avanta platform, its software, interfaces, design, documentation, name and branding are ours and are protected by intellectual property law. These terms grant you a limited, non-exclusive, non-transferable right to use the service; they transfer nothing else. You may not copy, modify, distribute or create derivative works from any part of the platform without our written permission.

Feedback

If you send us suggestions, feature requests or other feedback, we may use it without restriction and without any obligation to you. You keep every right you already had in it; you simply are not owed anything for our using it.

Plans and billing

Plans and seats

Avanta offers three plans. Free supports up to 5 members of a workspace. Premium, listed at USD 29 a month, supports up to 15. Premium Plus, listed at USD 79 a month, has no seat limit. Superadministrators are not counted against a workspace's seats. Adding a member beyond your plan's limit requires an upgrade.

How upgrades work today

Avanta does not currently take payment in the product. There is no checkout, and no card or bank details are collected or stored by the platform. A workspace administrator requests an upgrade from within Avanta, and our team applies it.

Because no payment is collected through the service, these terms set no billing cycle, no automatic renewal and no refund entitlement. Any amount payable, and the terms on which it is paid, are agreed separately with us in writing. We will update this section and give notice before any self-serve billing is introduced.

Communications and privacy

Messages we send you

We will send you service messages — security notices, changes to these terms, billing or plan correspondence, and messages needed to operate your account. These are part of the service and cannot be turned off while you hold an account.

We may also send product and marketing messages. You can opt out of those at any time using the link in the message or by writing to us, without affecting your access to the service.

Personal data

Our handling of personal data — what we collect, why, who processes it on our behalf, how long it is kept and what rights you have — is governed by our privacy policy, which forms part of these terms.

Third-party services and integrations

Connecting other services

Avanta can connect to services we do not control, including email providers, messaging platforms, notification services and mapping providers. Connecting one authorises Avanta to exchange data with it on your behalf.

Those services are governed by their own terms and privacy policies. We are not responsible for their availability, their security, or what they do with data you send them through an integration you chose to enable. Our privacy policy lists the providers that process data on our behalf.

Disclaimers

The service is provided as is

Avanta is provided “as is” and “as available”. To the fullest extent permitted by the law of the Kingdom of Cambodia, we disclaim all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the platform will meet your requirements. You are responsible for keeping your own copies of data that matters to your business.

Limitation of liability

What we are not liable for

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive loss, nor for loss of profit, revenue, goodwill, business opportunity or data, however caused and on any theory of liability.

Cap on liability

Our total aggregate liability arising out of or relating to these terms or your use of Avanta is limited to the greater of (a) the amount you have paid us for the service in the twelve months preceding the claim, or (b) USD 50.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

Indemnification

Claims arising from your use

You agree to indemnify and hold harmless Avanta, its officers, employees and agents against any claim, damages, loss, liability and reasonable legal costs arising out of your content, your use of the service, your breach of these terms, or your failure to meet your own legal obligations to the people whose data you hold in Avanta.

We will notify you of any claim we seek to be indemnified for and give you a reasonable opportunity to take part in its defence.

Suspension and termination

Ending your use of Avanta

You may stop using Avanta at any time. The platform does not yet provide self-serve deletion of an account or a workspace, so to have an account closed or workspace data deleted, get in touch through our contact page. We will confirm the request with a workspace administrator before acting on it, and complete it within a reasonable period.

Suspension or termination by us

We may suspend or terminate access where these terms are breached, where use of the service threatens its security or availability, where we are required to by law, or where an account has been inactive for a prolonged period. Where circumstances allow, we will give notice and an opportunity to put the breach right.

What survives

Sections covering customer data and content, intellectual property, disclaimers, limitation of liability, indemnification and governing law survive the end of this agreement, as does any obligation to pay an amount already due.

Force majeure

Events outside our control

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disaster, epidemic, war, civil unrest, government action, industrial action, failure of a telecommunications or hosting provider, or widespread interruption of power or internet service.

Changes to these terms

How we update them

We may revise these terms as the product and the law develop. The current version is always published on this page, with its version number and the date it was last updated shown at the top.

For a material change we will give notice through the platform or by email before it takes effect. Continuing to use Avanta after a revision takes effect means you accept it. If you do not accept it, stop using the service and ask us to close your account.

Governing law, severability and entire agreement

Governing law and disputes

These terms are governed by the law of the Kingdom of Cambodia. Any dispute arising out of or in connection with them is submitted to the competent courts of Phnom Penh. We encourage you to contact us first; most issues are resolved faster that way than through a court.

Severability and entire agreement

If any provision of these terms is held to be invalid or unenforceable, that provision is limited or removed to the minimum extent necessary and the rest remains in full force.

These terms, together with the privacy policy and any written agreement signed by us, form the entire agreement between you and us in relation to Avanta, and replace any previous understanding on the subject. A failure to enforce a provision is not a waiver of it.

Contact

How to reach us

Questions about these terms, a request to close an account, and requests about personal data all come to us through the Avanta contact page.

Tell us which workspace your message concerns so we can route it to the right place, and we will respond as quickly as we can.
